Interim Corporate Governance Manager

We are working with an NHS organisation who are seeking to appoint an Interim Corporate Governance Manager for 3 to 6 months.

The role will start ASAP and will be under the NHS Agency Capped rates at Band 7/8a. the role will involve hybrid working.

Key responsibilities:
  • Support the organisation with professional corporate governance advice, Board & Executive Secretariat, and corporate compliance on a range of matters;
  • Secretariat - Provision of outstanding secretariat support to a portfolio of Board of Director and Board Committee meetings, including advising the Chairs, drafting Escalation & Assurance reports from Committees to the Board using the 3A model, and ensuring Committees are properly constituted in line with the Trust’s Standing Orders and the Code of Governance for NHS provider organisations;
  • The post holder will support a portfolio of Board and Board Assurance Committees and will lead on managing key aspects of the corporate governance framework;
  • Board Assurance Framework - Support with coordination and participation in the quarterly Board Assurance Framework reviews and annual end of year review to inform reporting, engaging with Executive Directors and other members of the Trust’s Senior Leadership team;
  • Ensure that corporate governance is embedded throughout the organisation, thus, helping to ensure the organisation’s corporate affairs are undertaken with the highest standards of probity, according to statutory and legislative requirements, and in accordance with the applicable regulatory framework;
  • Proactively manage the Policy Framework database;
  • Co-ordination of the Trust Annual Report, ensuring compliance with the DHSC Group Accounting Manual;
  • Annual assurance on compliance with the NHS Code of Governance for submission to the Audit Committee and Board of Directors;
  • Ensure that Board Committees and Executive led Groups are properly constituted with clear Terms of Reference and annual Business Cycles and conduct their affairs in accordance statutory and regulatory requirements.
Key Skills/Experience Required:
  • Masters level qualification or equivalent professional relevant experience in a corporate governance role;
  • Evidence of continued professional development in a relevant field;
  • CGI Advanced Certificate in Healthcare Governance (or willingness to work towards during 1st year of employment) or qualified as a Chartered Secretary/Chartered Governance Professional;
  • Understanding and knowledge of corporate governance best practice;
  • Track record of dealing with corporate governance and principles of business conduct in a large and complex organization;
  • Substantial experience of providing secretariat support to Board and Board Committees;
  • Experience of drafting reports for Board and Board Committees;
  • Experience of producing accurate and high-quality professional Board level minutes for corporate organisations;
  • Understanding of relevant NHS legislation as it applies to NHS trusts and NHS foundation trusts;
  • Outstanding interpersonal skills, with ability to build and maintain strong relationships at all levels;
  • Ability to manage conflict and sensitive situations and to communicate effectively both verbally and in writing;
  • Ability to understand and work with the complexities of NHS organisations at Board level.
